Service Terms

Effective October 27, 2026 · Version 1.0

1. Who this covers

These terms apply to all work performed by Ferrell IT Consulting (“we,” “us”) for a client (“you”). Approving an estimate, asking us to begin work, or paying an invoice means you accept them. A signed copy is used for larger projects or where you are giving us administrative access to your systems.

2. What we do

IT consulting, support, and systems administration: Microsoft 365 and Google Workspace, networks and Wi-Fi, device management and security, email security, cloud and backups, and compliance readiness. Work is scheduled, not on-call, unless we have agreed to after-hours or emergency terms for a specific request.

3. Rates and billing

4. Estimates and changes

Estimates are good-faith projections based on the scope we discussed. If the scope grows or we find something unexpected, we stop and tell you before doing work that would exceed the estimate. You approve any addition before it is billed.

5. Response and availability

We reply to new requests the same or next business day. A reply is not the same as an appointment; we will tell you when the work can be scheduled. We are not a 24/7 help desk and do not guarantee response times for after-hours requests unless agreed in writing for your account.

6. What we need from you

7. Your credentials and your data

Any passwords, keys, or access you give us are stored in an encrypted password vault dedicated to your account, used only to perform the work you asked for, and never shared. Everything we build or configure for you belongs to you, including accounts, documentation, and credentials. When our engagement ends, we hand everything over and remove our own access within 14 days. We keep what we learn about your business confidential, during and after the engagement.

8. Risk, warranty, and liability

We perform work carefully and to professional standards. If something we did is defective, tell us within 10 days and we will correct it at no charge. Beyond that, services are provided as-is: technology fails, vendors change things, and we cannot guarantee any particular outcome, uptime, or that a system will be free of security incidents. Our total liability for any claim arising from our work is limited to the fees you paid us in the 12 months before the claim. We are not liable for lost profits, lost data, downtime, or other indirect or consequential damages.

9. Ending the engagement

Either of us can end an ongoing engagement with 14 days’ written notice (email is fine). You pay for work performed through the end date. We complete the handover described in section 7.

10. The fine print

We are an independent contractor, not your employee, and we work for other clients. These terms are governed by the laws of the State of Texas, and any dispute will be handled in Gregg County, Texas. We may update these terms; the version in effect when work is requested is the one that applies, and the current version is always at www.ferrellit.com/terms.
